2005 AGM Minutes

The Chairperson welcomed everyone to the fourth AGM of the Halifax Town Supporters’ Trust and briefly outlined the proceedings of the AGM.

1. TO RECEIVE AND APPROVE THE MINUTES OF THE 2003 ANNUAL GENERAL MEETING HELD ON 1ST JUNE 2004 AT THE SOUTH STAND BAR, SHAY STADIUM, HALIFAX.

2. The minutes of the 2003 Annual General meeting held on 1st June 1004 at the South Stand Bar, Shay Stadium, Halifax were received and approved.

There were no matters arising from the minutes.

3. The Secretaries Report was read out by J. Potts the acting Chairperson – see attached.


4. Report for HTST Representative to HTFC – C. Haddock said that the targets set at the beginning of the year had been achieved except for the disappointment of not getting into the playoffs. He said with gate receipts and the commercial side and Warm Shield again as our sponsors plus the F.S.I.F. Stadium debt problem being set aside the squad is better now than last year at the same time.
He said that Steve Haslem playing for the England under 21’s had done a lot of good for the profile to Halifax Town.
He had sent his letter of resignation to the Board of Halifax Town to allow a new member to be elected. He said he thought it was time to step down and wished the new member all the best. He also offered to help the new member in any way he could.
The Non-League newspaper had been in touch with him asking him for his comments regarding the Ian Dunbavin incident at the Carlisle game. He thought less said soonest mended.

5. Commercial Managers Report – P. Stajic - see attached.
Question from P. Lassey as how we had managed to raise so £1900 at the Gentlemans Dinner. P. Stajic replied that we had raised £1000 auctioning various items and the rest was raffles. P Lassey also asked why the Christmas Dinner Dance had only broken even. P. Stajic replied that only 80 tickets had been sold but it had been a new venture and would be started earlier and advertised better in future.

6. Audited Accounts – Treasurer – R. Harris – see attached.

7. Re-appointment of Bousefield Waite & Co as Auditors. They have never charged the Trust and for this we are very grateful and thank them profusely.

8. Elect Society Board Members – see attached.
They were all accepted by a unanimous show of hands.

9. Report from HTST Representative to Shay Stadium Trust – see attached.

There were no questions from the floor and the acting Chairperson thanked everyone for attending and the meeting closed at 9.00pm.

SECRETARY REPORT

There were 22 meetings this also includes commercial meetings and ad-hoc meetings.

Incoming Letters there were 35 and Outgoing Letters there were 112.

Newsletters 6 were sent.

Programme Notes there was a total of 25.


MEMEBERSHIP - 2004

Membership runs from January to December. The membership year ended with 217 renewals out of 272 giving a percentage of 80%.


People who hadn’t renewed but came back to us in 2004 was 17 this gave a live membership of 234.


Membership – 2005

This year 172 renewals have been sent out 114 people have renewed so far.

There as been 44 renewals sent out to people who did not renew in 2004 and 5 have been sent back.

At this moment in time 119 people have renewed.

HALIFAX TOWN STADIUM TRUST
DIRECTORS’ REPORT

A most important point was that the £162K loans that the FSIF initially had with HTFC had now been taken over by the Shay Stadium Trust. Loans to be repaid last month. Dave Richards, Chairman of the FA Premier League and Chairman of the FSIF visited the Shay last week. He warned HTFC that they could be relegated two divisions for being in default but in the end he said he was willing to consider an offer, subject to the rest of FSIF Board agreeing Offer has been made and we are awaiting reply.

How will we pay?
Back in January the Shay Stadium Trust started negotiations with developer CFK looking to make commercial development in exchange for development of the stadium. Calderdale Council are considering giving leases tro the Shay Stadium Trust long enough to allow development. In addition Calderdale Council are considering using the South Stand annex as offices.

A working party has been set up to consider what facilities are needed and how they are to be managed. We are looking at other new stadiums to see what facilities are most used and produce the most profits. Profits from facilities would be used by the Shay Stadium Trust to run the stadium and it was hoped it would be rent free for both clubs.
On the question of who manages facilities such as club shop, banqueting etc. My opinion is that the Stadium Company should manage these facilities not the clubs. The reason for this is it is important that cash flows are protected.
In the past the club chop has been ‘raided’ for cash to pay the players wages, then there is no cash to buy stock. Over the last few years replica shirts have not been available. Last season started before the shirts were available. Leeds United shirts are now already on sale but Halifax Town have still not received theirs to sell.
Clubs still make money out of shirts – various ways franchise of £x per shirt sold etc. the same is true of the banqueting suite. Conflict with the club on this is likely. See what the new board thinks about this.

Finally

Every Wednesday evening volunteers from the Rugby Trust are asking for volunteers from our Trust to help with painting within the stadium. They have already painted the South Stand Bar, the fence on Skircoat Road, North Stand and the toilets. Any volunteers – bring a brush – paint provided.
