MINUTES of the Annual General Meeting of the organisation held at The South Stand Bar, Shay Stadium, Halifax on Tuesday 6th June 2006 at 8.00pm.

The Chairman welcomed everyone to the fifth AGM of the Halifax Town Supporters’ Trust making specific reference to any new Members in attendance. Thanks were extended to her Trust Board colleagues who had been working with the Chair over the last few months. The Agenda for the AGM was briefly explained to all attendees and a summary given of the Trust’s achievements over the last 12 months.

· Launch of Shaymen 500
· Support given to HTAFC re C.V.A.
· Continued membership of Shay Stadium Trust Ltd

1. TO RECEIVE and APPROVE THE MINUTES OF THE 2005 ANNUAL GENERAL MEETING HELD ON 2ND JUNE 2005 AT THE SOUTH STAND LOUNGE, THE SHAY STADIUM, HALIFAX
The minutes of the 2005 Annual General Meeting held on 01/07/2005 at the Weavers, The Shay Stadium, Halifax were received and approved.

There were no matters arising from the minutes.
With the aid of a “Power Point” presentation, Ian Robinson (Secretary), gave his report.
It was reported that 12 Board meetings and 18 other “adhoc” meetings had taken place during the 52 weeks since the previous AGM. Membership now stood at 274, this figure made up of 38 Gold, 208 Silver, 15 Bronze and 13 Pub Pals. The meeting was given a breakdown of membership gender, location and method of contact. Statistics were also0 provided regarding all communications undertaken by the Society Board.

With the aid of a “Power Point” presentation, Peter Stajic, on behalf of the Trust Commercial Board, gave his report. The meeting was notified of the 2005 income generation figures – a total of £7,028-49 had been raised during the period 02/06/2005 to 07/06/2006 and this was an excellent result. Attendees were referred to the Football Card Money Income and Expenditure and given an explanation of how this had assisted in paying some miscellaneous costs. Janet Marshall was thanked for all her efforts in this respect. The Easter and Festive Draws had proved particularly lucrative. Good working relationships had been achieved with the Supporters Club on joint initiatives. Income – generating ideas would be most welcome to support events planned for 2006/2007. “Business Friends” scheme being introduced and first member had been signed up. Thanks were extended to all organisations and individuals who had supported the Trust’s commercial activities over the past 12 months.

With the aid of a “Power Point” presentation, Richard Harris (Trust rep to the Shay Stadium Trust), provided a detailed summary of events covering the period February 2005 to date involving all the bodies/groups working on the project. Amongst many of the issues advised to the AGM attendees, it was stressed that at no time had the SST asked the Council for loan facilities. Widespread support from general public, local media and some politicians had undoubtedly contributed to Council climb down from the original decision in December 2005 to sell the freehold of the Shay. £100,000 had been forwarded by the Council for a viability study and a team of consultants has been appointed to carry this out. Although their report was 4 weeks behind, it was expected next week.

With the aid of a “Power Point” presentation, Stuart Byrnes (HTST rep on Halifax Town AFC Board), gave his report.
His first year in the role had just been completed and within this period, the Trust had unquestionably strengthened it’s influence within the Football Club. Five members of the HTST Board were now having regular meetings with the HTAFC Chairman and these would obviously continue. HTST had been represented in the Boardroom at all home matches and a fair number of away games.
A lot of work was being undertaken re Community activities and HTST – in comparison to a number of Trusts at other Football Clubs – enjoyed a very good relationship with Halifax Town AFC. “Shaymen 500” was a good example of working together with the club and Supporters Club/SDS.
Richard Harrison confirmed that some tangible success had already been achieved with community initiatives.
Gavin Butler expressed concern over 3 Commercial Managers had come and gone over a 12 month period and a number of attendees agreed with these sentiments. Stuat Byrnes assured the meeting that a HTAFC Board meeting was imminent, at which time this would be discussed as priority.
2. TO RECEIVE and CONSIDER THE ACCOUNTS, BALANCE SHEET and REPORT OF THE SOCIETY BOARD.
The Statement of Accounts for the Year Ended 31 December 2005 were circulated to the meeting. With the aid of a “Power Point” presentation, Richard O’Connor (Treasurer), gave his report.
He indicated that the accounting period was from 01/01/2005 to 31/12/2005. Explanation was given regarding the income of £11,911, expenditure of £7,063 and the excess of £4,848.
The Accounts, Balance Sheet and the Report of the Society Board were received and approved.

3. TO ELECT THE BOARD MEMBERS OF THE SOCIETY BOARD IN PLACE OF THOSE RETIRING (as per previously circulated Note No 1)
The Chair explained that Janet Marshall, Richard O’Connor, Anne Stajic, Peter Stajic and Mark Yates had resigned from the Society Board in accordance with Constitution Rule 61.
“At the third and fourth annual general meeting of the Society half of the members of the Society Board first elected by the members (to be chosen by lot) will resign from office. Thereafter the half of the members of the Society Board elected by the members who have served the longest at the date of the annual general meeting each year will resign. If at any time there is an uneven number of elected directors, the Society Board shall decide the number of elected directors to resign in accordance with this Rule, which shall be approximately half of the total number”.
It was reported that the closing date for nominations to the Society Board had been reached on Friday 2ND June 2006 and that four members of the Trust had sought selection to the Society Board, namely Janet Marshall, Anne Stajic, Peter Stajic and Mark Yates.

4. TO TRANSACT ANY OTHER BUSINESS WHICH CAN BE PROPERLY TRANSACTED AT THE ANNUAL GENERAL MEETING
· Roger Bottomley advised the attendees of the relevant “Shaymen 500” statistics: 81 members so far, 52 paid in full, 29 standing order arrangement. £27,420 in bank account. 749 letters had been sent out in initial mail shot.
· Ian Robinson provided postcode statistics for “Shaymen 500” respondents, ie. 60% HX, 40% elsewhere.
· Stuart Byrnes stressed that HTST/HTAFC could not negotiate with Inland Revenue re C.V.A. until a certain level of funds had been raised.
· More “Shaymen 500” Open Evenings would follow. Support needed – good results so far.
· Alan Jones queried whether his earlier suggestion to the club re a similar exercise with Skircoat Stand had been assessed. Roger Bottomley assured him that his proposal would be included in next meeting with the Football Club.
· Richard Harrison assured attendees that the issue of share documentation re Victoria Theatre 2003 was pending. Roger Bottomley said that immediate help was available from the Trust to facilitate the administration.
There were no further questions.
The Chair formally closed the meeting at 21.00pm and thanked everyone for his/her attendance.
