Notice of Extraordinary General Meeting

Dated: February 28th 2014

We are presently involved in negotiations with the Rugby Football Union regarding loans/funding for the new clubhouse building works. As a condition of such loans/grants the RFU have indicated that they would like the company articles contained in our rules to be revised and updated.

In order that this matter may be fully aired and explained, an Extraordinary General Meeting of our club membership has been called for Friday 21st March at 7.30 pm at  the Brinkburn Clubhouse, Hartlepool.

EGM re rules update

As a requirement of the RFU for their approval and payment of a £100000 grant to the club for our new build , we need to update our Company Articles and adopt rules that are in accordance with the RFU’s current model club rules.

We are therefore calling an Extraordinary General Meeting of the club for Friday March 21st at 7.30pm to pass the new article 119 and the rules under that article as approved by the RFU.

The club secretary will forward a proxy form for you to complete and return to him if you do not wish to attend in person.

Rules

119.1     Subject to the Articles, the Voting Members of the company in general meeting may from time to time make, vary and revoke Rules to regulate the running and membership of West Hartlepool Rugby Football Club.

 119.2          Rules made pursuant to this Article 119, in order to be valid, must be compliant with the Act and the Articles.

 

WEST HARTLEPOOL RUGBY FOOTBALL CLUB LIMITED (“THE CLUB”) 

 

RULES 

These rules of the Club are made pursuant to Article 119 of the Company’s Articles of Association.  The terms used shall have the same meaning as in the Articles of Association. Where there is any inconsistency between these Rules and the Articles of Association, the provisions of the Articles of Association shall prevail. 

1. Membership 

The Club consists of Voting Members and Non-Voting Members (together “the Members”), who shall be nominated by existing Members and approved by the Management Board.

2. Voting Members 

The Voting Members of the Club shall consistent of:

 

 

(i)     people who participate in playing rugby union (whether competitively or not) for or at the Club and who are over 18 years old and who shall also join as Social Members. (“Players”); and

(ii)     people who are supporters of the Club (“Social Members”),  

who have chosen to apply to be a Voting Member and who are admitted to the Club by the Management Board upon their application in accordance with these Rules; and 

(iii) individuals who have been approved as Life Members of the Club by the Board of Management and paid the appropriate subscription and

(iv) individuals who have been elected Patrons and Honorary Life Members of the Club at an AGM of the Club. 

3. Non-Voting Members  

The Non-Voting Members of the Club shall consist of people who participate in playing rugby union (whether competitively or not) for or at the Club and who are under the age of 18. 

4.  Rights and Privileges of Members 

4.1 Voting Members are entitled to receive notice of, attend and vote at general meetings of the Club (either in person or by proxy); propose and second candidates for election as [officers of the Club]; receive all Club publications; and to such other membership rights as the Club in general meeting shall from time to time determine. 

4.2 Non-Voting Members are entitled to receive all Club publications and such other membership rights as the Club in general meeting shall from time to time determine.  They are not entitled to receive notice of, attend and vote at general meetings of the Club or to propose and second candidates for election as [officers of the Club].  

 

5. Entrance Fee  

There shall be such entrance fee for Members as the Management Board may from time to time resolve in accordance with the Articles. 

 

6. Subscriptions 

(a) The annual subscription payable by Members of the Club, subject to alteration as provided later in this Rule, shall be set by the Management Board from time to time in accordance with these Rules.

(b) The subscription year shall be from [1 September to 31 August] inclusive in each year.  Any change in subscription made by the Management Board will be notified to Members by being included in any notice, newsletter, or similar document posted to the Member by being addressed to him at his last known address, or by posting this information prominently on the Club’s website, on or before [31 July] next following after the decision to make the increase and will take effect on the [first day of September] following such notification.

(c)  Members admitted at any time during the subscription year shall pay the full annual subscription.

(d) In the event that a Member’s membership is terminated for any reason, no refund of a subscription or entrance fee shall be payable unless the Management Board decides otherwise.

 7. Expulsion of Members 

The Management Board shall be entitled to expel a Member for bringing the Club into disrepute. 

8. Rules concerning provision of alcohol on the Club Premises 

8.1 Purchase for the Club and supply by the Club of intoxicating liquor must be in the absolute discretion of the Management Board. 

8.2 No one may at any time receive at the expense of the Club [or any Member] any commission, percentage or similar payment on or with reference to purchases of intoxicating liquor by the Club. 

8.3 No one may directly or indirectly derive any pecuniary benefit from the supply of intoxicating liquor by or on behalf of the Club to Members or guests apart from any benefit accruing to the Club as a whole and apart also from any benefit which a person derives indirectly by reason of the supply giving rise to or contributing to a general gain from the carrying on of the Club. 

9. Guests 

 9.1 Any Member may introduce guests to the Club. 

10. Opening of Club premises 

10.1 The Club is open at such other times or for such other periods as the Management Board shall from time to time decide.  

 11. Interpretation of the Rules 

The interpretation of the Rules shall be the prerogative of the Management Board.  

 12. Election of the Management Board. 

                           The Management Board and all officers shall be elected at each AGM.   

13. Quorums

                         At an AGM or general meeting of the Club the quorum shall be at least 6 Voting Members present in person or by proxy.  At Management Board and committee meetings the quorum shall be at least 3 individuals. Committees shall be appointed by the Management Board and report to the Management Board.

14. Officers

                       The following officers shall be elected [at each AGM]: the Chairman of the Management Board, the Chairman of Rugby, the Chairman of House, the Treasurer and the Club Secretary. Other officers and assistants may be appointed by the Management Board from time to time.
